Shares up 230 per cent, then blindsided by shareholder push for purge

Impedimed’s shares have risen 230 per cent since March but the Brisbane medical technology company has been hit with a demand for a shareholders meeting to purge the board.

The company said it had received a notice under section 249D of the Corporations Act from 16 requisitioning parties to remove four directors.

Among the requisitioning group was Acadia Park, which recently notified the ASX that it had 8 per cent of the company’s shares.

The four marked to go were chair Don Williams, Amit Patel, David Anderson and Daniel Sharp. Sharp was only appointed to the board in recent weeks.

The 16 parties also wanted the appointment of McGregor Grant, Christine Emmanuel-Donnelly, Andrew Grant and Janelle Delaney appointed as new directors.

That leaves the recently appointed Michael Seiden and managing director Richard Valencia outside the targeted group along with Jan West.

Impedimed said it was providing consistent returns for sharheolders with a 233 per cent increase in its share price since March.

“In addition, the company received widespread support from both institutional and retail shareholders in successfully raising new capital to accelerate its growth and has delivered in excess of 30 per cent share price accretion from the date of the announcement of capital raising in May,” Impedimed said.

Before the first warning lobbed last week, Impedimed said it had not received any communication from Acadia Park, nor has it been given any reason or context for the proposed purge.

“The company is disappointed with the surprise and sudden actions of Acadia Park at a time when the company is making significant progress with private payor reimbursement and achieving marketing inroads ahead of stated timelines,” the company said.
